5. Ticketing Platform Integration

Account Credentials

You may provide credentials for your ticketing platform accounts to enable automated scraping. You are solely responsible for ensuring you have the right to provide these credentials and that doing so does not violate any third-party terms of service.

Your use of third-party ticketing platforms through SeatSync is subject to those platforms' terms of service. We are not responsible for any violations of third-party terms or any consequences thereof.

Service Limitations

We cannot guarantee continuous access to third-party platforms. Service interruptions may occur due to platform changes, API limitations, or other factors beyond our control.

6. Prohibited Uses

You agree not to use SeatSync for any of the following:

• Illegal activities or violation of any applicable laws or regulations
• Fraudulent or deceptive practices
• Attempting to gain unauthorized access to our systems or other users' accounts
• Interfering with or disrupting our services or servers
• Using our services to spam, harass, or harm others
• Reverse engineering, decompiling, or attempting to extract our source code
• Violating third-party intellectual property rights

7. Intellectual Property

SeatSync and its content, features, and functionality are owned by SeatSync, LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of our content without our prior written consent.

8. Data and Privacy

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEATSYNC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OUR SERVICES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless SeatSync and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses arising out of or relating to your use of our services, your violation of these Terms, or your violation of any rights of another party.

12. Dispute Resolution

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.

Arbitration

Any dispute arising out of or relating to these Terms or our services shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association.

Class Action Waiver

You agree that any arbitration or legal proceeding shall be limited to the dispute between you and SeatSync individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date.

Your continued use of our services after any changes constitutes acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using our services.
